Ericsson has today entered into an asset purchase agreement to acquire the parts of the Carrier Networks division of Nortel relating to CDMA and LTE technology in North America. The purchase is structured as an asset sale at a cash purchase price of USD 1.13 b. on a cash and debt free basis. This announcement follows the completion of the auction process initiated by Nortel, and the transaction is subject to court and customary regulatory approvals.

Ericsson acquires an installed base and a healthy business that provides major operators CDMA technology and support services. In addition, the acquisition strengthens Ericsson’s ability to serve North America’s leading wireless operators in the evolution to LTE. The acquisition significantly expands Ericsson’s footprint in North America, particularly as this region is emerging as an early adopter of LTE technology. The acquisition also provides Nortel’s customers with a strong and reliable supplier for the future, many of which have expressed support for this acquisition.

“Acquiring Nortel’s North American CDMA business allows us to serve this important region better as we build relationships for the future migration to LTE. Furthermore, by adding some 2,500 highly skilled employees, of which about 400 are focused on LTE research and development, Ericsson reinforces and expands a long-term commitment to North America. This deal, along with our recently announced Sprint service agreement, truly positions Ericsson as a leading telecoms supplier in North America,” said Carl-Henric Svanberg, President and CEO of Ericsson.

The agreement includes important CDMA contracts with North American operators such as Verizon, Sprint, U.S. Cellular, Bell Canada and Leap, as well as LTE assets, certain patents and patent licenses relating to CDMA and LTE. Nortel’s customers will also benefit from the continued support of Nortel’s installed CDMA base and the migration path to LTE.

Nortel’s North American CDMA operations generated approximately USD 2.0 b. in 2008, with robust profitability from a good product mix, which includes a significant amount of services. Going forward, research and development costs are expected to be relatively low in CDMA compared with other technologies.

Ericsson’s North American business generated SEK 17.9 (USD 2.7) b. of sales in 2008, mainly from GSM and WCDMA equipment and associated services. When coupled with the recently announced Sprint services agreement, this acquisition makes North America the largest region within Ericsson and encompasses some 14,000 employees.

The robust financial profile of the acquired operations will contribute significant top- and bottom-line additions to Ericsson. The transaction is expected to have a positive effect on Ericsson’s earnings within a year after closing. Magnus Mandersson, presently head of Ericsson Northern Europe, is appointed President of Ericsson CDMA operations, and Richard Lowe, Nortel, is appointed Chief Operating Officer.

“Our two companies share a long-standing commitment to technological excellence and innovation, and we look forward to welcoming the Nortel employees into Ericsson. We are truly impressed with their continuing outstanding performance during these challenging times,” said Magnus Mandersson, President of Ericsson CDMA operations.

“The agreement with Ericsson provides a strong and stable future for Nortel’s CDMA and LTE business. Customers will enjoy continued strong support from an industry leader as they look to evolve to LTE. Many employees will also have the opportunity to continue their work with Ericsson, bringing their innovation power and creativity to the wireless industry for years to come,” said Richard Lowe, President of Carrier Networks at Nortel.

Consummation of the transaction is subject to approval by the United States and Canadian Bankruptcy Courts and the satisfaction of regulatory and other conditions.

SEB Enskilda is acting as Ericsson’s sole financial advisor in the transaction.

Ericcson, the global ICT group based in Sweden will invest a total of US$1.5 billion to Korea for the joint development in green technology area for the next five years. Hans Vestberg, the chairman of Ericcson revealed this plan to President Lee Myung-bak who is currently on state visit to Sweden on Sunday, July 12.

Vestberg, in his meeting with President Lee explained that his company will open a R&D Center in Korea for joint research with local companies, using Korea as the test-bed in fields of green technology and 4th generation IT technology. The company would also increase the number of employees in Korean branch from current 80 to some 1,000.

The cooperation between Ericsson and Korean companies is likely to further upgrade the broadcasting network of the country and help advance to the world market. The mutual cooperation between Wibro technology headed by Korea and Long Term Evolution Technology (LTE) headed by Ericcson, especially is likely to make the two sides lead the 4th generation (4G) IT market which is only in its birth stage.

The prospect is expected to attract the participation of some of the high-ranking businesses in Korea including Samsung and LG Electronics.

The President Lee, openly welcoming the large scale investment, expressed his wish to see Ericcson’s active cooperation with not only big companies but also with mid and small companies that have potential. Lee stressed that he would make all efforts to realize fair competition between local and overseas companies in Korea.

Prior to his meeting with Lee, Vestberg also met with Choi See-joong the chairman of the Korea Communications Committee whose trip to Sweden coincided with the president. Choi also looked around Kista Science Park known as the Silicon Valley of Europe.

Vestberg lauded Korea for being one of the most wired nations in the world and for its pursue of low carbon green growth policy, thus forming an excellent test-bed for information technology.

After the talks Ericcson and KT (Korea Telecom) signed a Memorandum of Understanding (MOU) with Choi and Sweden’s Vice Minister of Trade Gunnar Wieslander watching. The MOU of the two sides stipulates joint development of green mobile technology, joint establishment and operation of domestic pilot-network to assure quality and improvement and mutual cooperation to advance into the world market.

The latest momentum is also likely to help with other foreign investments in Korea.

With this trial, Ericsson and Telecom Italia are at the forefront of solar-powered site development, proving that alternative energy sources represent a viable business case for both emerging and developed markets. The Eco-Smart solution, based on flexible solar panels, can generate up to 100 percent of the energy required to power a site in the same land space as a traditional site.

Environmental issues are high on Ericsson’s agenda and this trial aims to prove that solar solutions represent a sustainable business case for operators in developed countries. As energy costs can account for up to 50 percent of a site’s operating expenses, the Eco-Smart solution can help operators make significant cost savings while reducing CO2 emissions.

The trial is being carried out in the Italian city of L’Aquila, where G8 leaders are meeting this week to discuss, among other topics, the challenges posed by climate change ahead of December’s United Nations conference on climate in Copenhagen.

Stefano Pileri, Head of Technology & Operations at Telecom Italia, says: “With this trial Telecom Italia reaffirms its commitment to technological innovation that will benefit the whole country, as well as to cost-cutting solutions. Using Eco-Smart also confirms our concern for environmental sustainability, one of the main drivers of our development policies.”

Cesare Avenia, President of Ericsson Italy says that Ericsson is at the forefront of energy-efficient solutions development. “The Eco-Smart represents everything telecommunications and Ericsson stand for – using innovative solutions to improve lives. The solution also confirms Ericsson’s leading position as an integrator, as it can be used with any technology, 2G, 3G or LTE, and in multi-vendor environments.”

The result of an agreement signed between Ericsson and Telecom Italia in 2008 to jointly develop sustainable solutions, the Eco-Smart confirms both companies’ commitment to a more innovative and eco-sustainable society.

The Eco-Smart solution features an elliptical support structure coated with flexible solar panels wrapping up the antenna.

The innovative structure, completely designed in Italy, can be easily adapted to all radio base stations shapes and provide operators with significant advantages in terms of operational expenses with an expectation of medium-term amortization, with a very low environmental impact.

Ericsson today signed framework agreements on 2G/3G mobile communication equipment and related services for 2009 with two major Chinese telecom operators: China Mobile and China Unicom, valued at USD 1 billion and USD 0.7 billion respectively.

China Mobile and China Unicom have received 3G licenses of TD-SCDMA and WCDMA standards respectively at the beginning of 2009. Together the two operators are currently serving more than 620 million mobile subscribers in China. The newly signed 2009 framework agreements will allow both operators to further improve the capacity and performance of their 2G networks and accelerate the initial build-up of their 3G networks, and consequently ensure richer and more innovative mobile communication services to hundreds of millions of Chinese consumers as 3G takes off in China.

Under the framework agreement signed between Ericsson and China Mobile, Ericsson continues to deliver green solutions to support China Mobile’s network energy optimization and CO2 emission reduction target. Ericsson will also expand GSM/GPRS network coverage and capacity in 18 provinces in China with related services. In addition, Ericsson also supports China Mobile’s 3G network build-out by providing a wide range of innovative TD-SCDMA products and solutions.

Under the framework agreement signed between Ericsson and China Unicom, Ericsson will not only become the main supplier to upgrade China Unicom’s GSM networks in 10 provinces, but also provide the operator with GSM/WCDMA core network and/or wireless access system in 15 provinces, including transmission, IP and value-added service platform. Ericsson’s strong local support team with global experience plays a key role in supporting China Unicom in launching the world’s largest WCDMA commercial networks.

Mats H Olsson, President of Ericsson Greater China, says, “China’s 3G market is growing rapidly and the world is watching closely. As the world’s undisputed leader of mobile communications technology, Ericsson will spare no efforts in supporting the development of China’s telecom industry with our global expertise and technology leadership.”

“Ericsson has been devoted to supporting the development of China’s telecom industry. The signing of the 2009 framework agreements today further enhances the position of Ericsson as the leading mobile communications supplier in China market. Ericsson will work together with China’s operators to ensure rewarding new user experience for Chinese consumers in the 3G era and we are fully confident that we can achieve this objective,” says Olsson.

Ericsson (NASDAQ: ERIC) has been awarded contracts with the three telecom operators in China to provide fixed broadband access. Millions of people in an initial nine Chinese provinces will now be able to enjoy high-definition TV, as well as high-speed broadband and quality voice services.

China Mobile, China Unicom and China Telecom are upgrading their networks with the latest available technology to provide the enhanced services to subscribers in Anhui, Guangdong, Hebei, Heilongjiang, Hubei, Liaoning, Shandong, Shanghai and Sichuan provinces to enjoy services such as quality voice, high-speed broadband and high-definition IPTV.

For these projects, Ericsson is to roll out what are known as FTTH networks for all three operators, using state-of-the-art broadband fiber-access technology (GPON or Gigabit Passive Optical Network), and its patented air-blown fiber solution. Ericsson will also provide a range of professional services including competence development, network design and optimization, support services and consultancy.

Mats H Olsson, President of Ericsson Greater China, says: “It is exciting to see all three Chinese telecom operators deploying fiber networks across the country to deliver data-thirsty, high-quality services. These initial rollouts in China, as well as the endorsements from around the world, have demonstrated yet again that cost-effective optical fiber solutions are becoming the leading technology for fixed deployment.”

Ericsson is the leading supplier of GPON systems across the globe. Over the years, Ericsson has been one of the top contributors to numerous industry standardization organizations, including the Full Service Access Network (FSAN) and Broadband Forum. An FSAN-driven roadmap and industry standards ensure the complete Optical Line Terminal /Optical Network Terminal interoperability of Ericsson’s GPON solution.

Ericsson (NASDAQ:ERIC) is paving the way for leading Ukrainian operator Kyivstar to offer its 23.9 million subscribers mobile broadband services under a three-year network modernization deal between the two companies.

While Ukraine awaits the imminent release of 3G licenses, Kyivstar’s customers across 99.9 percent of the country will be able to access multimedia data services and superior voice service thanks to an expansion and modernization of Kyivstar’s GSM/EDGE network. Ericsson will boost capacity and coverage of the operator’s radio access and core network, which serves more than half the nation’s total subscriber base of 55.2 million. By increasing capacity by more than 30 percent, Kyivstar will be able to manage the anticipated uptake of mobile data in the network.

The core network capacity is expanded by using the Ericsson Mobile Softswitch Solution, which also enables cost-efficient migration to an all-IP network. The deal also covers microwave transmission, network deployment, systems integration and support services, as well as competence development for staff.

Igor Lytovchenko, President of Kyivstar, says: “This network modernization furthers Kyivstar’s strategy of maintaining its technology leadership, while preparing for the launch of mobile broadband services with the introduction of 3G in Ukraine.”

Jan Campbell, President of Ericsson Eastern Europe and Central Asia, says that the deal is an extension of Ericsson’s established partnership with Kyivstar, which dates back to the nationwide rollout of its GSM network in 1996. “By using Ericsson’s latest GSM/EDGE technologies, Kyivstar can deliver seamless services to its customers today and be well prepared for future needs.”

Kyivstar and Ericsson have also joined forces in the area of advanced mobile technologies, with the first Ukrainian demonstrations of 3G and MMS in 2002 and EDGE in 2004.

The Global Humanitarian Forum and its President, former UN Secretary General Kofi Annan, together with Ericsson (NASDAQ:ERIC), the World Meteorological Organization (WMO), mobile telecommunications company Zain, and the Earth Institute at Columbia University, today announced a major initiative, dubbed “Weather Info for All”, to radically improve Africa’s weather monitoring network in the face of the growing impact of climate change.

A recent Global Humanitarian Forum report estimated that climate change is responsible for some 300,000 deaths each year and over USD 100 billion worth of economic losses, mainly because of shocks to health and agricultural productivity. Sub-Saharan Africa accounts for close to a quarter of these losses, and is the region at the most immediate risk of droughts and floods. Agricultural yields in some areas are expected to fall by 50 percent as early as 2020.

The Global Humanitarian Forum initiated this collaboration in response to Africa’s severe gap in weather information highlighted at the Forum’s first annual event. The members of the initiative will deploy up to 5,000 new automatic weather observation stations across Africa, intending to provide a massive increase in crucial information to predict and manage climate shocks.

Africa has a network eight times below the WMO minimum recommended standard, and less than 200 weather stations that meet WMO observation requirements, compared to several thousand each in Europe, North America, and parts of Asia. The 5,000 weather stations will be installed at new and existing mobile network sites throughout the continent over coming years, in what promises to save lives and bring increased economic opportunity to tens of millions of people.

An innovative public-private partnership on a unique scale, the initiative relies on the core business of telecom. Ericsson, the world’s leading provider of telecommunications equipment and services, will tap relationships with African operators such as Zain, who will host the weather equipment at mobile network sites being rolled out across Africa. Achieving the 5,000 target would require additional operator commitment and external financing.

The launch was held at the Global Platform for Disaster Risk Reduction, where Kofi Annan said: “The world’s poorest are also the world’s most vulnerable when it comes to the impact of climate change, and the least equipped to deal with its consequences. Today you find cell phone towers in almost every part of Africa. We have never been able to establish weather monitoring on that scale, until now. By bringing together the expertise and resources of different public and private actors, this project may help to save lives and improve the livelihoods of communities in Africa living on the frontlines of climate change.”

Also present at the launch, Carl-Henric Svanberg, President and CEO of Ericsson, said: “As the leading provider of telecommunications in Africa and active on the continent for more than 100 years, we are driving the rapid expansion of mobile communications. This initiative presents a unique opportunity to simultaneously help mitigate the impact of climate change for those most affected and to strengthen weather networks and systems across the continent. We look forward to having more operators come on board to realize the full impact of the initiative.”

Mobile networks provide the necessary connectivity, power and security to sustain the weather equipment. Through its Mobile Innovation Center in Africa, Ericsson will also develop mobile applications to help communicate weather information developed by national meteorological and hydrological services (NMHSs) via mobile phones. Mobile operators will maintain the automatic weather stations and assist in the transmission of the data to national met services.

The initial deployment, already begun in Zain networks, focuses on the area around Lake Victoria in Kenya, Tanzania and Uganda. The first 19 stations installed will double the weather monitoring capacity of the Lake region.

Zain CEO Saad Al Barrak commented: “It is truly wonderful that many communities across Africa will now have accurate meteorological information readily available. Here we can see how mobile communications can play a key role in helping to improve both the quality of life and safety for people in the remotest parts of the world.”

Approximately 70 percent of Africans rely on farming for their livelihood, or close to 700 million people, and over 95 percent of Africa’s agriculture depends on rainfall. Changing weather patterns due to climate change render obsolete traditional knowledge relating to agriculture otherwise reliable for centuries, creating a great need for meteorological information.

Also present at the Geneva launch was Michel Jarraud, Secretary-General of the WMO, the United Nations System’s authoritative voice on Weather, Climate and Water, which is coordinating involvement of NMHSs participating in the initiative. Jarraud said:

“For food production, almost every decision is linked to weather, climate and water parameters. We see the Weather Info for All initiative as a major pan-African effort to empower our 188 Members to provide enhanced weather information and services. Working through NMHSs, WMO will identify weather information needs, advise on technical requirements and help disseminate the information. This initiative may prove to be one of the most important for African meteorology in decades. The project will also therefore support the goals of the WMO-organized World Climate Conference-3, to be held from 31 August to 4 September 2009 in Geneva.”

The initiative will have an impact far beyond agriculture and disaster preparation as it also includes assistance to national meteorological services in training and technical capacities. Better weather information will also make possible the development of services, such as microinsurance, which can be based on weather data indexes, such as rainfall. The initiative will also increase the volume of information useful for scientists, as well as for the water, transport and energy industries.

While the weather information gap is particularly acute in Africa, the initiative would be open to later expansion into other affected regions.

A further partner in the initiative is Columbia University’s Earth Institute, headed by Jeffrey Sachs. To help with distribution to some of the most vulnerable and poorest parts of Africa and in partnership with the Earth Institute, automatic weather stations will also be installed in Millennium Villages – rural development projects spread throughout 10 countries and focused on achieving the Millennium Development Goals. By leveraging the expertise of Earth Institute scientists on climatology, agriculture, and health, the project hopes to identify key areas where there can be an immediate impact contributing a sizable knowledge bank to the effort.

“The Earth Institute is a proud partner in this highly innovative program,” said Jeffrey Sachs, director of the institute. “Once the switch is turned on, a flow of extensive weather data will become available throughout Africa, with benefits extending from the national policy makers to the smallholder farmers. The Millennium Villages is a perfect launch site for the practical and timely application of weather data to bolster resilience and sustainable development in sub-Saharan Africa.”

In support of the UN Global Compact Caring for Climate initiative, Ericsson’s CEO Carl-Henric Svanberg addressed UN Secretary Ban-Ki Moon at an official meeting in Copenhagen. Mr. Svanberg said a new 21st century infrastructure is required to significantly contribute to the creation of a carbon-lean economy. “We must move away from dealing with emissions after they have already occurred, and focus instead on moving ideas, not people, with broadband being society’s new highways.

”A large scale offsetting of CO2 emissions will require new ways of conducting business and new ways of living, and will also require large scale investments in Information and Communication technology (ICT). This sector could offset societal CO2 emissions by as much as 15 percent by 2020, and with an innovation-driven climate agenda, Ericsson estimates that this figure could be even higher. Ericsson’s contribution is to provide the foundation for low-carbon services and solutions, through mass deployment of mobile and fixed broadband networks. Thus, leadership for Ericsson means growing the business while reducing carbon-related impacts”, said Carl-Henric Svanberg.

Mr. Svanberg also spoke at the first plenary session of the World Business Summit on Climate Change, addressing industry and government leaders. The message to the global business community is that companies can turn the climate challenge into profitable opportunity and make a significant contribution to combatting climate change. To governments and regulators around the world, the message is that effective legislative and regulatory frameworks should make markets work for the climate. The results of the World Business Summit on Climate Change will be presented to the Danish government, host of COP15 in Copenhagen in December 2009, and to world leaders negotiating the terms of the next international climate treaty.

“Today investments to reduce CO2 emissions often only result in marginal improvements, or even increased emissions, due to an overall unsustainable development. In contrast, low carbon communication solutions which instead can be seen as “21st century infrastructure” can contribute to direct emissions reductions and also pave the way for further reductions by supporting a long-term sustainable development, Mr. Svanberg concluded.
